TERMS OF USE

Effective date: 3rd day of October 2024

The SayIt.app (‘an AI powered tool”), is owned and operated by PeaceProject.ai LLC, carrying on its business activities in California, United States. These Terms of Use govern your use of this application.

IMPORTANT NOTICE REGARDING ARBITRATION: It is important to read this Agreement carefully to fully understand each provision. This Agreement includes an arbitration agreement and a waiver of class action/jury trial that require, unless you opt out according to the instructions in the Dispute Resolution section, the exclusive use of final and binding arbitration on an individual basis to resolve any disputes between you and us, including any claims that arose or were asserted before you agreed to these terms. To the fullest extent permitted by law, you are expressly waiving your right to seek relief in a court of law and to have a jury trial on your claims, as well as your right to participate as a plaintiff or class member in any class, collective, private attorney general, or representative action or proceeding.

By accessing or using the Services, you acknowledge and agree that (a) you have read and understand this Agreement, (b) you have the right, power, and authority to enter into this Agreement, and if entering into this Agreement on behalf of an organization, that you have the legal authority to bind that organization, and (c) you accept and agree to be bound by the terms and conditions of this Agreement. If you do not accept these terms, you may not access or use the Services.

PeaceProject.ai LLC reserves the right to modify these Terms of Use at any time, without prior notice, in its sole discretion. It is your responsibility to regularly check these Terms of Use for updates. If you continue to use the Services after any modifications have been made, you are indicating your agreement to be bound by the updated Terms of Use. If you do not agree to the changes, you must immediately stop using the Services. As our Services may change and evolve over time, we reserve the right to modify or discontinue any part of the Services, at any time, without notice and in our sole discretion.

1.       YOUR ACCEPTANCE OF THESE TERMS OF USE

These Terms of Use hereinafter referred to as “TOU” constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you, or user”) and PeaceProject.ai LLC (“PeaceProject.ai LLC, we,” “us” or “our”), concerning your access to and use of the AI powered tool, (collectively, the “Site, “App” or PeaceProject.ai”). You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these TOU Use.  IF YOU DO NOT AGREE WITH ALL OF THESE TOU, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY. 

BY SIGNING UP TO USE THE APP OR SERVICE, YOU ACKNOWLEDGE AND AGREE THAT THE FORMS WE SEND YOU ARE PROPER NOTIFICATION OF SUCH REPORTS AND THAT YOUR NAME AND DATE OF SENT REPORT WILL BE RECORDED ON OUR DATABASE WHICH WILL SUFFICE AS A SIGNATURE FOR SUCH REPORTS. 

Supplemental TOU or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these TOU at any time and for any reason.  We will alert you about any changes by updating the “Last updated” date of these TOU and you waive any right to receive specific notice of each such change.  It is your responsibility to periodically review these TOU to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised TOU by your continued use of the Site after the date such revised Terms are posted. 

2.       YOUR ACCEPTANCE OF OUR PRIVACY POLICY

By agreeing to these TOU, you agree to the terms of our Privacy Policy which is expressly incorporated herein. Before using this Site, please carefully review our Privacy Policy. All information provided to us as a result of your use of this Site will be handled in accordance with our Privacy Policy. To the extent there are inconsistencies between these Terms of Use and our Privacy Policy, these Terms of Use control.

3.       YOUR CONSENT TO OTHER AGREEMENTS

When you intend to use a special feature of this Site, you may be asked to agree to special terms governing your use of the special feature. In such cases, you may be asked to expressly consent to the special terms, for example, by checking a box or clicking on a button marked “I agree.” This type of agreement is known as a “click-through” agreement. If any of the terms of the click-through agreement are different than the terms of these TOU, the terms of the click-through agreement will supplement or amend these Terms of Use, but only with respect to the matters governed by the “click-through agreement.”

4.       ABOUT PeaceProject.ai

PeaceProject.ai is an AI-powered tool designed to assist users in enhancing their personal and business communications to achieve their objectives. The AI functionality involves rewriting user statements. As users engage with the tool, they shall have the capability to disseminate the content they generate without any traceable link to the original content they share. It is essential for users to recognize that sharing any content that infringes upon our established terms of use empowers us to take necessary measures, including the removal of said content, at our discretion and without prior notice.

We strongly advise all users to view our tool as a facilitative instrument to enhance their communication. However, users should exercise their best judgment, thoroughly reviewing and approving the output before fully relying on it for communication purposes.

We designed the site to make using the service as simple as possible. The site can be accessible by visiting https://PeaceProject.ai/. 

5.           APPLICABILITY                

"These general terms and conditions (the "Conditions") apply to:

(a)          The use of any information, pictures, documents and/or other services offered by PeaceProject.ai via (our “Website”); 

(b)         The use of the features and services provided via the AI powered tool.

6.          ACCOUNT.       

Users can access the Services by creating an account. To create an account, you must provide accurate and complete registration information, including a valid email address, phone number and a password. You are responsible for maintaining the confidentiality of your password and account and are fully responsible for all activities that occur under your password or account. You agree to immediately notify PeaceProject.ai of any unauthorized use, or suspected unauthorized use, of your password or account or any other breach of security. PeaceProject.ai cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

As part of the Services, PeaceProject.ai may provide you with certain software, documentation, and other materials that are owned by PeaceProject.ai or its licensors. PeaceProject.ai grants you a limited, non-exclusive, non-transferable, revocable license to use such materials solely in connection with your use of the Services, subject to the terms and conditions of this Agreement.

PeaceProject.ai reserves the right to modify, suspend, or discontinue any part of the Services at any time with or without notice to you. PeaceProject.ai shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

PeaceProject.ai does not guarantee the accuracy, reliability, completeness, or timeliness of any information provided by our Services. You agree that PeaceProject.ai shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use our Services, including but not limited to damages for loss of profits, data, or other intangible losses. We do not accept any responsibility or liability for the use or misuse of any AI output generated through our Services.

Furthermore, you acknowledge and agree that any AI-generated output provided by our Services is for productivity purposes only and should not be relied upon as a substitute for professional advice or judgement. You must perform your own due diligence and validation before relying on any information generated by the AI. You are solely responsible for any actions taken based on the AI-generated output, and PeaceProject.ai shall not be liable for any losses, damages, or expenses resulting from such actions. By accessing and using our Services, you agree to indemnify and hold PeaceProject.ai harmless from any claims, demands, or damages arising from your use of the AI-generated output. Additionally, you acknowledge and agree that PeaceProject.ai shall not be liable for any loss or damage that may arise from any interruptions, errors, or omissions in the Services or AI-generated output.

We reserve the right to modify, suspend, or discontinue any part or all of our Services at any time without prior notice. By accessing and using our Services, you agree to release, indemnify, defend and hold harmless PeaceProject.ai and its affiliates, officers, directors, employees, agents, and contractors from any claims, demands, damages, expenses, or liability, including reasonable attorneys' fees, arising from or related to your use of our Services or AI-generated output.

The Services are provided on an “as is” basis without any warranty of any kind, express or implied. We and our licensors specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, and any warranties arising out of the course of dealing or usage of trade. We make no warranty that the PeaceProject.ai Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness of any information.

As part of this agreement, you consent to receive emails and text messages from us about the service. We will send a maximum of 8 emails or text messages per month and usually it will be less than that.

To provide the Services we must also collect and handle your personal information in accordance with our Privacy Policy. 

7.          AGE REQUIREMENTS

Permission by Parent or Guardian

If you are under 18, you must have your parent or legal guardian’s permission to use the Service. Please have them read this Agreement with you.

If you are a parent or legal guardian of a user under the age of 18, by allowing your child to use the Service, you are subject to the terms of this Agreement and responsible for your child’s activity on the Service. 

Businesses

If you are using the Service on behalf of a company or organisation, you confirm to us that you have authority to act on behalf of that entity, and that entity accepts this Agreement.

8.       USE OF SERVICES/USER PROHIBITIONS

8.1        Subject to your compliance with these Terms, PeaceProject.ai LLC grants you a limited, non-exclusive, revocable (with or without cause), non-transferable right and license to use the Services.

8.2        You shall use the Services in accordance with these Terms and shall not:

  • Upload any Content (as defined below) that violates or infringes another party’s rights of publicity, Privacy, Copyright, trademark or any other intellectual property right.
  • Copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, decrypt, interfere with, or disrupt the integrity or the performance of the services.
  • Make any modification, adaptation, improvement, enhancement, translation or derivative work from the services.
  • Violate any applicable laws, rules or regulations in connection with your access or use of the Services.
  • Use the Services in violation of or to circumvent any sanctions or embargo.
  • Remove, alter or obscure any proprietary notice (including any notice of copyright and trademark) of PeaceProject.ai LLC or its affiliates, Partners, Suppliers or Licensors.
  • Use the Services for any purpose for which it is not designed or intended. You also agree not to use the platform to store or record data, and you release us from any liability relating to data or content loss.
  • Use the Services to create or promote a product, service or software that is, directly or indirectly, competitive with or in any way a substitute for the Services or any services, product or software offered by PeaceProject.ai LLC.
  • Use any proprietary information or interfaces of PeaceProject.ai LLC or any other intellectual property of PeaceProject.ai LLC in the design, development, manufacture, licensing or distribution of any application, accessories or devices for use with the Services.
  • Use the Services to send, post, or otherwise communicate any Content which is offensive, indecent, threatening, abusive, insulting, harassing, defamatory, libellous, deceptive, fraudulent, tortious, obscene, profane, invasive of another person’s privacy, or racially, ethnically or otherwise objectionable.
  • Use the Services to send automated, unsolicited or unauthorised messages, advertising or promotional material or any junk mail, spam or chain letters.
  • Upload to, or transmit through the Services any data, file, software or link that contains or redirects to a virus, Trojan horse, worm or other harmful components.
  • Use any scraper, robot, bot, spider, crawler or any other automated device or means to access, acquire, copy or monitor any portion of the Services, or any data or content found or access through the Services.
  • Collect any information in respect of other users without their consent.
  • Commit any act to avoid paying any applicable fees and/or charges.
  • Attempt to and/or engage in any activity or act that is intended to abuse, abuses or inappropriately manipulates any promotion, campaign and/or discount codes offered through the Services. Such act and activities include but are not limited to: creating fake or duplicate accounts; generating fake orders; buying and reselling your own inventory.
  • Authorise or encourage anyone to do any of the foregoing.

8.3         The intellectual property rights in all materials and content comprising the Service, including but not limited to images, written content and designs on each page of the PeaceProject.ai and website, either belong to us or we have permission from the owner to use them to provide the Service. All such intellectual property is protected by worldwide intellectual property laws, including copyright and design laws. We give you permission to use the materials and content comprising the Service for the sole purpose of using the service in accordance with these terms of service.

8.4         Your right to use the Service is personal to you and you are not allowed to give this right to another person or to sell, gift or transfer your Account to another person. Your right to use the Service does not stop us from giving other people the right to use the service.

8.5         Other than as allowed in these Terms of Service or by us in writing, you are not given the right to use the “PeaceProject.ai LLC” name, or any of the “PeaceProject.ai LLC” trademarks, logos, domain names and other distinctive brand features, all of which are intellectual property rights that belong to PeaceProject.ai LLC

8.6         These Terms of Service do not grant you any rights to, or in, any such intellectual property rights or any other rights or licences in respect of PeaceProject.ai LLC’s materials and content, the Service, PeaceProject.ai LLC name and/or trademarks, other than as set out in these Terms of Service.

9.        PAYMENT & SUBSCRIPTIONS 

(a)       Payment and billing information.

Payments for use of the services rendered on the site or app can be done with the use of the payment methods provided by Stripe. By providing a credit card or other payment method that we accept, you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our third-party payment processor) to charge your payment method for all charges you incur for the purchase of any premium subscriptions or other Products (including any applicable taxes and other charges). You are responsible for, and agree to pay, all such charges. If we or our third-party payment processor cannot obtain authorization for charges to your payment method or if any amounts you authorize us to charge to your payment method are reversed or charged back for any reason, we may, at our option, in addition to any other remedies: cancel or suspend any subscription, make second and/or subsequent attempts to charge your payment method, and/or use any other lawful means to collect payment on any outstanding amounts due to us. You agree to provide and keep current a valid payment method. However, your failure to do so shall not constitute cancellation of any Order. In the event you want to change or update payment information associated with your PeaceProject.ai LLC account, you can do so at any time by logging into your account and editing your payment information.

 (b)      Subscriptions

We provide monthly and annual subscriptions which can be cancelled anytime. Our users have the option of subscribing to either a monthly or annual plan. We may offer no-cost trials for a Paid Service to subscribers from time to time. If you purchase a subscription to a Paid Service that includes a trial, you will receive access to that Paid Service for the duration of the trial period. At the end of the trial period, you will be automatically charged the price of the subscription and will continue to be charged until you cancel your subscription. To avoid any charges, you must cancel your subscription before the end of the trial period. Please note that if you purchase a subscription for a Paid Service that includes a no-cost trial, the period during which you can exercise a withdrawal right (and request a refund if applicable) begins at the beginning of the trial, not when you are subsequently billed for the subscription.

(c)       Discounts

We may, from time to time, offer discounts on purchases or subscriptions. Additional terms and conditions, including eligibility criteria, may apply to such plans and any such additional terms will be made available to you prior to purchase.  

(d)      Taxes

If we are required to collect or pay any taxes in connection with your purchase of a Paid Service, such taxes will be charged to you at the time of each purchase transaction.

(e)      Cancellation of Subscriptions

If you purchase a subscription to a Paid Service that automatically renews, you may, cancel the subscription any time before the end of the current billing period. The cancellation will take effect at the end of that billing period. You will retain access to the Paid Service from the time you cancel until the start of the next billing period. You will not receive a refund or credit for any remaining days in your current billing period.

(f)       License

After completing a transaction or paying the applicable fees for a Paid Service, you may access and use that Paid Service, for your personal, non-commercial use only, and as long as you comply with the Terms and the law. Your license to the Paid Services (including any content offered through the Paid Services) is non-exclusive and all rights, title and interest in the Paid Services not expressly granted to you in these Terms are reserved by us and its licensors. You agree not to use any Paid Service, in whole or in part, in connection with any public presentation even if no fee is charged (except where such use would not constitute a copyright infringement).

(h)      Adjustment to pricing

Prices for Paid Services may change from time to time, to reflect inflation, changes in pricing from our licensors, changes for promotional offerings, changes to the Paid Services or changing business needs. Any changes to pricing for Paid Services with recurring payments will only apply following reasonable notice to you. If we notify you of a price change for a Paid Service with a recurring payment and you do not want to continue that Paid Service at the new price, you can cancel the Paid Service before the start of the next subscription period in which the new price applies.

(i)       Suspension and Termination

You may stop using the Paid Services at any time. We may suspend or stop your access to the Paid Service and/or your account if you materially or repeatedly are in breach of the Terms, or if we are investigating suspected misconduct. In most cases we will give you prior notice before we suspend or disable your access unless we reasonably believe that to do so: (i) would breach the law or the direction of a legal enforcement authority, or would otherwise risk legal liability for us or our affiliates; (ii) would compromise an investigation; (iii) would compromise the operation of any of the Paid Services; or (iv) would cause harm to any user(s). If your entire PeaceProject.ai Account is suspended, you can appeal the decision.

10.      PeaceProject.ai’S INTELLECTUAL PROPERTY

Content For purposes of these Terms, “content” is defined as any information, communications, published works, or other materials that can be viewed by users on our Site and is owned by PeaceProject.ai LLC, our Affiliates or our licensors.

Ownership of Content All content on the Site is subject to intellectual property rights, contractual or other protection. The intellectual property rights are owned by us or our licensors. No content may be copied, distributed, republished, uploaded, posted or transmitted in any way except as provided expressly in these Terms or with PeaceProject.ai’S prior express written consent. Any use of the content other than as permitted by these Terms, or any other unauthorized use of the content may make you liable to PeaceProject.ai or its licensors for violation of intellectual property rights.

Trademarks or service marks of PeaceProject.ai include, but are not limited to, PeaceProject.ai™ and the PeaceProject.ai logo. All custom graphics, icons, logos and service names are registered or common-law trademarks or service marks of PeaceProject.ai or our Affiliates. All other trademarks or service marks are property of their respective owners. Nothing in these Terms grants you any right to use any trademark, service mark, logo, and/or the name of PeaceProject.ai, our Affiliates or our licensors.

Site Use PeaceProject.ai grants you a limited, revocable, nonexclusive license to use the content on the Site solely for your own personal purposes only and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You may not use any content from the Site which is not owned by you for commercial use. You agree not to copy the Site or content located on the Site; to reverse engineer or break into the Site; or to use content, products or services in violation of any law. Any use of the Site or the content contained therein other than as specifically authorized in the Agreement, without the prior written permission of PeaceProject.ai, is strictly prohibited and will terminate the license granted herein. Unless explicitly stated herein, nothing in the Agreement shall be construed as conferring to you, whether by implication, estoppel or otherwise, any title or ownership of, or exclusive use-rights to, any intellectual property or other right and any goodwill associated therewith. PeaceProject.ai reserves the right, without notice and in its sole discretion, to terminate your license to use the Site at any time and to block or prevent your future access to, and use of, the Site.

No Warranty for Third-Party Infringement Neither we nor our Affiliates warrant or represent that your use of materials displayed on, or obtained through, this Site will not infringe the rights of other users of the Site or of third parties.

Your Content and Conduct

Uploading Content

When using the service, you may be able to upload Content to the Service. If you choose to upload Content, you must not submit to the Service any Content that does not comply with this Agreement or the law. For example, the Content you submit must not include third-party intellectual property (such as copyrighted material) unless you have permission from that party or are otherwise legally entitled to do so (including by way of any available exceptions or limitations to copyright or related rights provided for under California State laws. You are legally responsible for the Content you submit to the Service. We may use automated systems that analyze your Content to help detect infringement and abuse, such as spam, malware, and illegal content.

Rights you Grant

You retain all of your ownership rights in your Content. In short, what belongs to you stays yours. However, we do require you to grant certain rights to PeaceProject.ai, as described below.

Licence to PeaceProject.ai

By providing Content to the Service, you grant to PeaceProject.ai a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to use that Content (including to reproduce, distribute, modify, display and perform it) for the purpose of operating, promoting, and improving the Service.

Removing Your Content

You may remove your content from the Service at any time. You also have the option to make a copy of your content before removing it. You must remove your Content if you no longer have the rights required by these terms.

Removal of Content by PeaceProject.ai

If we reasonably believe that any of your Content (1) is in breach of this Agreement or (2) may cause harm to PeaceProject.ai, our users, or third parties, we reserve the right to remove or take down some or all of such Content. We will notify you with the reason for our action unless we reasonably believe that to do so: (a) would violate the law or the direction of a legal enforcement authority, or would otherwise risk legal liability for PeaceProject.ai or our Affiliates; (b) would compromise an investigation or the integrity or operation of the Service; or (c) would cause harm to any user, other third party, PeaceProject.ai or our Affiliates. 

11.      COPYRIGHT INFRINGEMENT POLICY

In accordance with the requirements set forth in the Digital Millennium Copyright Act, Title 17 United States Code Section 512(c)(2) (“DMCA”), Company will investigate notices of copyright infringement and take appropriate remedial action. If you believe that any Content on the Website has been used or copied in a manner that infringes your work, please provide a written notification of claimed copyright infringement to the Designated Agent for the Site containing the following elements as set forth in the DMCA:

  • a physical or electronic signature of the owner of the copyright interest that is alleged to have been infringed or the person authorized to act on behalf of the owner;
  • identification of the copyrighted work(s) claimed to have been infringed, including copyright date;
  • identification of the Content you claim to be infringing and which you request be removed from the Site or access to which is to be disabled along with a description of where the infringing Content is located;
  • information reasonably sufficient to allow us to contact you, such as a physical address, telephone number and an email address;
  • a statement by you that you have a good faith belief that the use of the Content identified in your written notification in the manner complained of is not authorized by you or the copyright owner, its agent or the law; and
  • a statement by you that the information in your written notification is accurate and that, under penalty of perjury, you are the copyright owner or authorized to act on behalf of the copyright owner.

12.      SOFTWARE UPDATES

PeaceProject.ai is constantly changing and improving the Service. As part of this continual evolution of our AI powered tool, and services, we may make modifications or changes (to all or part of the Service) such as adding or removing features and functionalities, offering new digital content or services or discontinuing old ones. We may also change the Service for these other reasons:

  • to adapt to new technologies
  • to reflect increases or decreases in the number of people who use a particular product, service or feature
  • to respond to key changes in the licences and partnerships we have with others
  • to prevent abuse or harm
  • to address legal, regulatory, safety or security issues.

In particular, we sometimes make legally-required updates, which are modifications that keep the AI powered tool services or goods in conformity with the law. We make these updates to our AI tool, and services for safety or security reasons, and to make sure they meet the quality standards that you expect, such as those described in our Legal Guarantee below.  We may automatically install updates that address significant safety or security risks. For other updates, you can choose whether you want them installed.

Before we change or stop offering any part of the Service, we carefully consider your interests as a user, your reasonable expectations, and the potential impact on you and others. We only change or stop offering any part of the Service for valid reasons. If a modification negatively affects your ability to access or use the Service, we’ll provide you with reasonable advance notice by email, including a description of the changes, when they’ll take place, and your right to end your contract with us if our modifications create more than a minor negative impact, except in urgent situations such as preventing abuse or harm, responding to legal requirements, or addressing security and operability issues. 

13.        TERMINATION

Termination by you. You may terminate these Terms and the license granted to you hereunder at any time by cancelling your subscriptions or notifying us of your intention to terminate your account.

Termination by us. Without prejudice to any other rights we may have, these Terms and the license granted to you hereunder automatically terminate without notice, if you fail to comply with or breach any provision of these Terms. In no event will we be liable for the suspension, removal of or disabling of your access to PeaceProject.ai or to any feature available therein. You acknowledge that upon expiration or termination of your license, the license key may automatically de-activate.

14.        EXCLUSION OF LIABILITY FOR EXTERNAL LINKS

The Website may contain connections to other websites, and platform users may also publish external links. PeaceProject.ai hereby declares explicitly that it has no influence on the layout or content of the linked pages and dissociates itself expressly from all contents of all linked pages of third parties. PeaceProject.ai shall not be liable for the use or content of Internet sites that link to this site or which are linked from it. Our privacy and cookie notice do not apply to any collection and processing of your personal data on or through such external sites.

15.      YOUR REPRESENTATIONS AND WARRANTIES

You hereby represent and warrant that: (i) you will only use PeaceProject.ai as permitted under these Terms; (ii) you agree to comply with all applicable laws, rules and regulations, and industry best practices while using PeaceProject.ai; (iii) you will not use PeaceProject.ai for any fraudulent or inappropriate purpose; (iv) you shall not prevent others from using PeaceProject.ai.

16.      DISCLAIMER OF WARRANTIES

PeaceProject.ai IS PROVIDED TO YOU “AS IS”, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT AND ANY WARRANTIES AND CONDITIONS ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT REPRESENT OR WARRANT THAT: (I) PeaceProject.ai WILL MEET YOUR REQUIREMENTS, WILL BE ERROR FREE OR THAT ANY ERRORS WILL BE CORRECTED; (II) THE OPERATION OF PeaceProject.ai WILL BE UNINTERRUPTED; OR (III) PeaceProject.ai IS OR WILL BE AVAILABLE WHERE YOU RESIDE OR IN ANY OTHER PARTICULAR LOCATION. YOUR ONLY RIGHT OR REMEDY WITH RESPECT TO ANY PROBLEMS OR DISSATISFACTION WITH PeaceProject.ai IS TO UNINSTALL AND CEASE USE OF ALL PeaceProject.ai PRODUCTS. Further and except as expressly provided herein, we are not obligated to maintain or support PeaceProject.ai, or to provide you with any updates, fix errors or any other features available therein. You acknowledge and agree that you are solely responsible for (and that we have no responsibility to you or to any third party) and assume all the responsibility and risk for your use of PeaceProject.ai and your breach of any of your representations and warranties herein contained, and for any loss or damage which we may suffer as a result of any such breach.

17.      LIMITATION OF LIABILITY

TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL WE, OUR OFFICERS, DIRECTORS, EMPLOYEES, PARENTS, AFFILIATES, SUCCESSORS, ASSIGNS, OR LICENSORS BE LIABLE TO YOU OR ANY OTHER THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES OF ANY TYPE INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, LOSS OF BUSINESS PROFITS, LOSS OF DATA OR BUSINESS INFORMATION, LOSS OF ADDITIONAL SOFTWARE OR COMPUTER CONFIGURATIONS OR COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, DAMAGES ARISING IN CONNECTION WITH ANY USE OF PeaceProject.ai OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE INSTALLATION, UNINSTALLATION, USE OF OR INABILITY TO USE PeaceProject.ai UNDER ANY THEORY OF LIABILITY, INCLUDING BUT NOT LIMITED TO CONTRACT OR TORT (INCLUDING PRODUCTS LIABILITY, STRICT LIABILITY AND NEGLIGENCE), AND WHETHER OR NOT WE WERE OR SHOULD HAVE BEEN AWARE OR ADVISED OF THE POSSIBILITY OF SUCH DAMAGE AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY STATED HEREIN. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, IN NO EVENT SHALL OUR TOTAL LIABILITY (INCLUDING OUR OFFICERS, DIRECTORS, EMPLOYEES, PARENTS, AND AFFILIATES) FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS, TO THE FULLEST EXTENT POSSIBLE UNDER APPLICABLE LAW, EXCEED THE AMOUNT PAID IF ANY, BY YOU FOR THE USE OF PeaceProject.ai.

18.      INDEMNITY

You agree to defend, indemnify and hold us, our parent corporation, officers, directors, employees and agents, harmless from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including but not limited to attorney's fees) arising from: (i) your access to or use of PeaceProject.ai; (ii) your violation of these Terms; or (iii) your violation of any third party right, including without limitation, any intellectual property right, or privacy right.

19.        DISPUTE RESOLUTION

The parties agree that any dispute, controversy, or claim arising out of or relating to this Agreement or the Services provided under this Agreement, or the breach, termination, enforcement, interpretation or validity thereof (collectively, "Dispute(s)"), shall be resolved through binding individual arbitration, rather than in court or through any other means. The parties hereby waive any right to participate in any class or representative action or proceeding.

Each party shall bear its own costs and expenses in connection with the arbitration, including its own legal fees, except as otherwise provided by applicable law. The prevailing party in any arbitration shall be entitled to an award of reasonable legal fees and costs. Nothing in this Agreement shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction in order to prevent or enjoin the infringement or misappropriation of its intellectual property rights. If any portion of this arbitration provision is found to be unenforceable, the remaining portions shall remain in full force and effect. This arbitration provision shall survive any termination of this Agreement.

WITH RESPECT TO ALL PERSONS AND ENTITIES, REGARDLESS OF WHETHER THEY HAVE OBTAINED OR USED PeaceProject.ai'S SERVICES FOR PERSONAL, COMMERCIAL OR OTHER PURPOSES, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS. YOU AND PeaceProject.ai AGREE THAT THE ARBITRATOR MAY AWARD RELIEF ONLY TO AN INDIVIDUAL CLAIMANT AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF ON YOUR INDIVIDUAL CLAIM(S). ANY RELIEF AWARDED MAY NOT AFFECT OTHER PeaceProject.ai USERS. YOU AND PeaceProject.ai FURTHER AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND PeaceProject.ai ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO BRING, JOIN, OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND AS A PLAINTIFF OR CLASS MEMBER.

20.      GOVERNING LAW AND DISPUTES

This Agreement will be governed by, construed and enforced in accordance with the laws of California, without regard to its conflicts of law principles or provisions. Notwithstanding the foregoing provisions of clause 19, if the parties are unable to resolve their dispute through Arbitration, Courts in the State of California shall have jurisdiction to adjudicate disputes.

21.      GENERAL

These Terms constitutes the entire understanding between the parties with respect to the matters referred to herein. The Section headings in these Terms are provided for convenience purpose only and have no legal or contractual significance. If any provision of these Terms is held to be unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remainder of these Terms shall continue in full force and effect. Our failure to enforce any rights or to take action against you in the event of any breach hereunder shall not be deemed a waiver of such rights or of subsequent actions in the event of future breaches. These Terms and any right granted herein may not be assigned by you without our prior written consent. The controlling language of these Terms is English. In the event of inconsistency or discrepancy between the English version and any other language version, the English language version shall prevail. Nothing in these Terms will be construed as creating a joint venture, partnership, employment or agency relationship between you and us, and you do not have any authority to create any obligation or make any representation on our behalf.
